This Memorandum of Understanding (hereinafter referred to as "MOU") is entered into on this ____ day of XXXX, 2025 by and between:

1. ECO Academy (Masterclass in Orthodontics, India)

Represented by Dr. Abhisek Ghosh (Authorised Signatory, Partner) and Dr. Adith Venugopal – (Partner). Hereinafter referred to as "ECO Academy."

2. XXXXX Dental College and Hospital, XXXX

Represented by Dr.XXXX, Dean and Head, Department of Orthodontics and Dento-facial Orthopaedics, XXXXX Dental College and Hospital. Hereinafter referred to as “XXXX Dental College and Hospital”.

WHEREAS, ECO Academy is and educational organization based in Kolkata, West Bengal, India, registered as – commercial school (non-technical) (C.E No – 002784018075 – KMC, GSTIN -19AAKFE1375Q1ZQ) aimed at promoting excellence in clinical orthodontics through its Masterclass online and offline educational programs;

AND WHEREAS, XXXXX Dental College & Hospital, under XXXXX Institute of Higher Education and Research is a premier institution dedicated to providing accessible, affordable, and high - quality dental education and oral health care. Established in XXXX, it offers excellent infrastructure, state - of - the - art facilities, and a renowned faculty. The college's mission is to establish itself as a leading dental school, set professional practice standards, and nurture graduates with human dignity and values.

(The qualified students and staffs of XXXXX Dental College and Hospital in this MOU refer to as post graduate students of Masters in Dental Surgery (M.D.S) in Orthodontics and post graduate teaching faculty of Masters in Dental Surgery (M.D.S) in Orthodontics only.)

AND WHEREAS, both parties desire to collaborate and promote on delivering high-quality orthodontic education programs across India and internationally;
NOW, THEREFORE, the Parties hereby agree as follows:

1. Purpose of the MOU

As a part of ECO Academy’s continued efforts towards delivering quality contemporary educational content and promoting orthodontic excellence in India and abroad, we are introducing a pan India drive to collaborate with reputed educational institutes from across the country.
This MOU outlines a collaborative framework between ECO Academy and XXXXX Dental College and Hospital to develop and promote educational content and training programs on contemporary orthodontics./p>

1.1 - The collaboration would help in mutual exchange of ideas and discuss the latest updates in the field of orthodontics through our recently introduced online portal-based lectures and discussions – which will be absolutely free of charge for the students and staff of institutes who officially collaborate with ECO Academy through this MOU.

1.2 - ECO academy would hold study clubs in the form of online scientific sessions by national and international faculty at definite intervals. It would include research and clinical discussions on recent advances in the field of orthodontics – which will be free of charge for students and staff of the collaborative institutes only.

1.3 - ECO academy could propose collaborations with XXXXX Dental College and Hospital to hold various offline scientific sessions like – “The Masterclass” – clinical workshops or symposiums in the future, provided a consensus is reached among both the parties after discussing the nuances of the same.

1.4 - The qualified students and staff of XXXXX Dental College and Hospital can avail the registration of the masterclass offline sessions (workshops and symposium) held in any location in India, irrespective of its collaboration as per Clause – 1.3, at discounted rates as a part of this academic tie up. The amount of discount however shall solely be decided by the ECO Academy.

1.5 - This collaboration would also aid in future funding of research projects (grants) and professional welfare aids through various schemes by ECO academy for student welfare leading to overall holistic growth of the profession.

2. Roles and Responsibilities

A. Responsibilities of ECO Academy:

2.1 - ECO Academy will provide faculty, educational content, and all necessary course materials for every online session, ensuring alignment with the latest standards in clinical orthodontics. This will be free of cost for all qualified students and faculty of the Department of Orthodontics, XXXXX Dental College and Hospital.

B. Responsibilities of XXXXX Dental College and Hospital:

2.2 - XXXXX Dental College and Hospital, will support ECO Academy by promoting the Masterclass series both online and offline within its institution, to its qualified students and faculty.

2.3 -XXXXX Dental College and Hospital, will provide professional insights and oversee the integration of scientific updates to ensure that content remains aligned with current advancements.

C. Collaboration on Research and Development:

2.4 - Any joint research or intellectual property (IP) created as part of this collaboration shall credit both ECO Academy and XXXXX Dental College and Hospital, in compliance with Indian IP laws and the Indian Patent Act, 1970.

3. Intellectual Property Rights

3.1 - ECO Academy retains full rights and ownership over any intellectual property, including lectures, presentations, and materials created by its panel of scientific contributors independently, in alignment with Section 17 of the Indian Copyright Act, 1957.

3.2 - Any patentable discoveries resulting from this partnership shall acknowledge the contributions of both parties (ECO Academy and XXXXX Dental College and Hospital) and will be subject to joint ownership or rights-sharing, as per the Indian Patent Act, 1970, with all necessary filings and registrations being handled collaboratively.

3.3 - ECO Academy does not allow the recording, taking screenshot or taking pictures of any of its slides of its online lectures which would be considered as violation of terms and conditions of the MOU.

4. Financial Terms

A. Free Online Programmes for Affiliated Members:

4.1 - ECO Academy shall conduct free online programs at weekly intervals to qualified students and staff of XXXXX Dental College and Hospital and this is applicable for programs conducted by both national and international faculties.

B. Discounted Rates for Offline Programmes for Affiliated Members:

4.2 - ECO Academy shall offer discounted registration rates for offline lecture sessions and courses to qualified students and staffs of XXXXX Dental College and Hospital, for all paid Masterclass programs and symposium. This includes all scientific sessions and hands-on courses conducted in India only. The amount of discount however shall solely be decided by the ECO Academy. International offline scientific sessions and courses are exempted from this rule.

C. No Financial Demands from the side of ECO Academy:

4.3 - ECO Academy shall not demand for any financial remunerations from XXXXX Dental College and Hospital for all academic contributions made towards its qualified students and staffs through online lectures only. It can however request for sponsorship for its online and offline sessions, the prerogative of the approval of which will solely rest on XXXXX Dental College and Hospital. The approval or denial of sponsorship shall not affect the other terms and conditions of the MOU in any aspect.

D. Sponsorship for Research Projects (Grants) by ECO Academy:

4.4 - ECO Academy will entertain submission of proposed research projects limited to the field of Orthodontics by the qualified staffs and postgraduate students of the Department of Orthodontics of XXXXX Dental College and Hospital by prior intimation. The scrutiny for the same will be done by a panel of senior academicians and clinicians selected by ECO Academy. The approval and denial of the grant is solely the prerogative of ECO Academy and should not affect the terms and conditions on the basis of which the MOU is signed.

5. Confidentiality and Non-Disclosure

5.1 - Both Parties agree to maintain the confidentiality of proprietary information shared within this collaboration, including clinical cases, procedural innovations, research projects and other sensitive materials, as per Section 27 of the Indian Contract Act, 1872.

5.2 - Both parties can update in its own official website, accessible to public, in the list of colleges / organizations with which it has signed the MOU. Both parties can publish pictures of programmes – online, offline lectures and meetings conducted in this collaboration in all its social media platforms.

5.3 - Both parties shall not use either’s name , likeness, or image in any public materials without prior written consent other than what is mentioned in Clause – 5.2 of the MOU.

5.4 - ECO Academy shall provide only 1 access portal with login access through only 1 IP address per college for its qualified students and staffs for its online programs in this case to XXXXX Dental College and Hospital.

6. Termination of the MOU

A. Termination Rights:

6.1 - This MOU may be terminated by either Party by providing sixty (60) days’ written notice.

6.2 - Upon termination, ECO Academy shall stop access of the qualified students and staffs of the Department of Orthodontics of XXXXX Dental College and Hospital to its educational content and programmes. However, all ongoing research projects will be concluded professionally and the rights of which shall remain with both the parties as mentioned in Clause – 3.2.

B. Protection Against Defamation:

6.3 - ECO Academy and XXXXX Dental College and Hospital, agrees upon not making any derogatory or false statements in any public forum that could harm the reputation of both parties in the event of termination or during the ongoing collaboration.

7. Compliance with Applicable Laws

7.1 - This MOU shall be governed by and construed in accordance with the Indian Contract Act, 1872, the Indian Patent Act, 1970, and the relevant provisions of the Dental Council of India and other applicable Indian regulations.

8. Dispute Resolution

8.1 - In the event of any disputes arising out of or related to this MOU, the parties shall first attempt to resolve the matter amicably.

8.2 - If an amicable resolution is not reached, the dispute shall be submitted to arbitration in Kolkata, West Bengal, India, in accordance with the Arbitration and Conciliation Act, 1996.

8.3 - The courts of Kolkata, West Bengal, India, shall have exclusive jurisdiction over any matters not resolved through arbitration.

9. Amendments and Notices

9.1 - This MOU may be amended only by a written document signed by both parties.

9.2 - Any notices or communications related to this MOU shall be delivered to the official addresses of XXXXX Dental College and Hospital and ECO Academy as specified herein.

Dr.Abhisek Ghosh did his graduation from Ragas Dental College, Chennai and post-graduation in Orthodontics from the Manipal College of Dental Sciences, Mangalore, as the best outgoing student (Gold Medalist). He is a diplomate of the Indian Board of Orthodontics and has the unique distinction of having a fellowship from all four Royal College of Surgeons-Edinburgh, England, Ireland and Glasgow.

He is the recipient of the Best Clinical Paper Award 5 times at the 47th, 48th, 49th, 53rd and 56th Indian Orthodontic Conference in Delhi, Ahmedabad, Kolkata Kochi and Pune. He is the winner of the George Jacob Award for excellence in clinical innovation presented by the Indian Orthodontic Society for the year, 2014. He has also been selected for the recently introduced IOS Exchange program to the University of Western Australia, Perth for the year 2017.

He is peer reviewer for the Journal of Indian Orthodontic Society. He is one of the key opinion leaders for ORMCO India pvt.ltd and a regular invited speaker in the national and international forum. He is a fellow of The World Federation of Orthodontist, The American Association of Orthodontist and certified in Lingual orthodontics (Incognito) and clear aligner technology (Invisalign).

He holds the post of Visiting Professor, at the Sri Ramachandra Dental College and Hospital, Chennai and is also the Chief Consultant Orthodontist at Apollo Clinics and the director of Great Lakes Orthodontic Care, Kolkata.

Dr. Adith Venugopal is a specialist orthodontist currently working as a Senior Lecturer, Orthodontics in the Faculty of Dentistry at the University of Otago, New Zealand. He is also an adjunct associate professor and clinical instructor of orthodontics and dentofacial orthopaedics at the University of Puthisastra, Phnom Penh, Cambodia. Dr Adith Venugopal was previously in a private practice at Pachem Dental Hospital, Phnom Penh, where he practiced exclusive labial, lingual, and aligner therapy.

Dr. Adith Venugopal has completed his Ph.D. in Orthodontics from Kyungpook National University, South Korea, under the eminent Prof. Hee-Moon Kyung. He has completed his clinical M.S. with an Outstanding Graduate Student Award in Orthodontics from the University of the East Manila (2014). He earned a bachelor’s degree in dentistry (B.D.S.) (Honours) from Rajiv Gandhi University of Health Sciences, India.

He has published several scientific studies and clinical reports in international peer-reviewed scientific journals and has been an invited keynote speaker at many orthodontic congresses. He has held courses and workshops on TAD-based biomechanics all around the globe to reach high standards in clinical, research, and teaching skills. He is an associate editor for the Seminars in Orthodontics, a contributing editor for the Journal of Clinical Orthodontics, a co-editor for the Kieferorthopadie, and an assistant editor for the APOS trends in Orthodontics.

He is currently the youngest fellow of two prestigious institutions, namely the International College of Dentists & the Pierre Fauchard Academy. He is also a fellow and member of the Royal College of Surgeons of England, Glasgow, and Edinburgh. His current clinical interests are in Class III treatments, gummy smiles, intrusion biomechanics, iatrogenics, and orthodontic re-treatment.

Dr Arun Nayak is an affable, highly-skilled orthodontist practicing exclusive orthodontics with a huge focus on providing genuine advice for the past 19 years. He has had a brilliant academic career and has been trained in one of India’s best orthodontic departments at the Government Dental College, Nagpur. He attends global summits to keep abreast with the latest developments in his field. He has been the KOL for Invisalign for past 8 years.

Dr Nayak is one of the foremost providers of Invisalign system in India. His paper on the G6 protocol has been awarded the Ashima Valiathan Best Clinical Paper at the Indian Orthodontic Conference in 2017. In addition, his paper on managing- Maxillary Deficient Class III with aligners won 2nd best case at the 2022 Indian Orthodontic Society Case Symposium.

Dr Nayak holds cases in the Align Global Gallery. He is the first and only orthodontist from India to be invited to the Invisalign Top 300 Global Forum at Vancouver in 2023. He has mentored scores of orthodontists all over India through hugely popular and intensely-scientific national study clubs.

Dr Nayak is a Platinum-Elite provider and a proud owner of the iTero scanner. He is a Diplomate of the Indian Board of Orthodontics

Dr. Ajit Kalia is currently Professor & Chair at Department of Orthodontics- M.A. Rangoonwala
College of Dental Sciences and Research Center, Pune India. He is a post-graduate teacher and has 22-years of active teaching experience.

He completed his MDS from Ragas Dental College, Chennai under the guidance of Dr. N. R. Krishnaswamy. He is a “Diplomate of the Indian Board of Orthodontics” and is currently serving as the Director of Indian Board of Orthodontics. He has been awarded M.Orth RCS from Glasgow and M.Orth RCS from England.

Dr. Ajit Kalia has 3 patents to his credit. He is an astute clinician and academician who has keen interest in temporary anchorage device, micro esthetics and LASERs. Skeletal anchorage is his special field of interest. He has completed mini residency program on Temporary Anchorage Devices from Yonsei University in Seoul, Korea. He has attended residency program on IZC and Buccal Shelf Implant conducted by Dr. Chris Chang at Beethoven Orthodontic Center and Newton’s A Inc. in Hsinchu, Taiwan.

Dr. Ajit Kalia also had the opportunity to learn the biomechanics of miniplates and Sendai Surgery First Approach- under the supervision of Dr. Junji Sugawara at the Sendai Aoba Clinic, Japan. He has lectured at various national and international conferences and has several publications in national & international journals.

He has won the best clinical paper award at the national conference of Indian orthodontic society at 4 consecutive occasions. He received the best clinical paper award at the World Implant orthodontic conference 2022, Brazil.

He has completed MSc in Aligner Orthodontics- Level 2 from University of Turin, Italy

Dr. Rajaganesh Gautam is a board-certified orthodontist with a private practice restricted exclusively to Orthodontics in Pune, India since the last 21 years. He completed his BDS (Bachelor of Dental Surgery) from Government Dental College and Hospital, Mumbai in 2000 and completed his MDS (Masters in Dental Surgery) in Orthodontics from Manipal College of Dental Sciences, Mangalore in 2002. He has completed international Mini Residency programs in advanced Orthodontics at the Yonsei University, Seoul and Kyungpook National University, Daegu, South Korea and at the Taipeh Medical University, Taipeh, Taiwan.

He is a Diplomate of National Board (DNB) and a Diplomate of the Indian Board of Orthodontics. He is presently Professor and Head of Department, Department of Orthodontics, Dr. D.Y. Patil Dental College and Hospital, Pimpri, Pune and is the Chairman of the Indian Board of Orthodontics.
He has authored publications in both national and international journals and is on the board of reviewers for many of these journals. He has conducted national workshops related to the use of TADs in orthodontics.

He has been an invited keynote and guest speaker at the Indian Orthodontic Society national conferences, post-graduate student conventions and at various national and international orthodontic forums. His clinical and research interests include aligner orthodontics, temporary anchorage devices, orthodontic resolution of impacted teeth, adult/ interdisciplinary treatment, and biological mechanisms related to orthodontic tooth movement.
